UK Calibrations Document Vault
The UK Calibrations Document Vault, hereinafter referred to as the “service”, is an optional service provided for eligible customers of UK Calibrations Limited which allows access and retrieval of stored Calibration Certificates and other documents. If you are not eligible to use the service, or decide to opt out, we can still provide copies of stored Calibration Certificates, subject to a charge in line with our current price list.
Terms and Conditions
If you are eligible and invited to use the service you must agree to the terms and conditions laid out in this agreement. This is a legal contract between you and UK Calibrations and it is important that you read it carefully. If there is anything you do not understand in this Agreement, please contact us.
The service is for use of businesses and individuals in the course of their business, all other use is prohibited.
The service is provided “as is” and no warranty is given or implied. UK Calibrations has done its utmost to ensure that the system is accessible and accurate. However, errors may occur. UK Calibrations accepts no responsibility or liability for any system inaccessibility or inaccuracy. The service may be suspended, replaced or cancelled without notice at the discretion of UK Calibrations.
We strive to deliver the best service to our customers whilst complying with applicable laws and directives. To do this we may need to make changes to our service or this Agreement. Unless the change is required immediately for legal or security reasons, we will give you prior notice of the change and, if you feel the change adversely impacts you, you will have a right to cancel the service following the change.
Eligibility to join and use the system is at the discretion of UK Calibrations and may be withdrawn at any time without notice. To be eligible to use the system you must
- agree to the terms and conditions laid out in this agreement ;
- have had, or represent a customer who has had a calibration or service carried out in the last two years;
- be an agent, employee or nominee of the business or person named in our customer database;
- not have any outstanding payments to UK Calibrations;
- use the system in a manner acceptable to our technical department;
- be able to legally contract with UK Calibrations;
- have access to, and the ability to use equipment and software compatible with the system.
If you are eligible to join and use the system you will be invited by UK Calibrations to do so either by providing you with login details or by providing instructions on how to register on-line. All invitations will be made to the postal or email address we have in our customer database. If you wish to nominate an agent or third party to access your documents on the system, please contact us with details. Your nominee must be eligible to join and use the system and be acceptable to UK Calibrations.
You, your agent or nominated representative, hereinafter called the “user”, are responsible for your access and use of the system. The user should not share passwords or expose the system to security threats or other attacks. Users displaying behaviour detrimental to our business, servers, networks or other users will have their access to the system withdrawn.
We need to prohibit certain activities which could affect our other users or which are unlawful. You are required to use the Services in accordance with our Acceptable Use Policy .
We archive all certificates in line with current Regulations and directives currently for a minimum period of six years, we may under certain circumstances retain the archives for a longer guaranteed period, please contact us if you require this service.
Cancellation and Termination
You may cancel your account at any time by contacting us.
If your use of the Services is in breach of key terms of this Agreement or would be detrimental to our servers or networks, UK Calibrations may terminate your use of the Service.
Upon Cancellation or Termination your account, your files will be erased from the system, but are still archived as part of our business obligations. If you then require copies of such items, a charge will be made in-line with our current price list.
Use of your data
EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT AND TO THE EXTENT PERMITTED IN ACCORDANCE WITH APPLICABLE LAW, UK CALIBRATIONS AND ITS AFFILIATES, EMPLOYEES, AGENTS AND SUPPLIERS DISCLAIM ALL WARRANTIES OF ANY KIND FOR THE SERVICE PROVIDED.
You acknowledge and agree that any use of the Services, including any information or content obtained through the Service, is at your own risk. You further acknowledge and agree that UK Calibrations exercises no control over, and accepts no responsibility for, the content of the information as it passes through network hubs and points of presence or the Internet, other than on UK Calibrations controlled equipment.
Limitation of Liability
UK CALIBRATIONS LIABILITY TO YOU IS NOT LIMITED OR EXCLUDED WHERE AND TO THE EXTENT SUCH LIABILITY CANNOT BE LIMITED OR EXCLUDED IN ACCORDANCE WITH APPLICABLE LAW.
IN ALL OTHER CIRCUMSTANCES, UK CALIBRATIONS OR ITS DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, DISTRIBUTORS OR SUPPLIERS WILL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY LOST PROFITS, INTERRUPTION OF BUSINESS, OR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF
- INTERRUPTION TO OR UNAVAILABILITY OF THE SERVICES;
- BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY;
- ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, TRANSMITTED, STORED OR MADE AVAILABLE VIA THE SERVICE;
DELAYS OR FAILURES IN THE SERVICE CAUSED BY YOUR INABILITY TO COMPLY WITH SOFTWARE, HARDWARE OR PROTOCOL REQUIRED BY THE SYSTEM;
UK CALIBRATIONS’ LIABILITY TO YOU OR ANY THIRD PARTY CLAIMING THROUGH YOU, FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE AMOUNT OF FEES PAID, IF ANY, BY YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
Governing Law and Jurisdiction
This Agreement, and any non-contractual obligations arising out of, or in relation to it, shall be governed by and construed in accordance with the laws of England and Wales.
Assignment and Delegation by UK Calibrations
UK Calibrations may, in its sole discretion, transfer or assign all or part of its rights under this Agreement, and may novate or transfer all or any portion of its duties and obligations under this Agreement. UK Calibrations may engage subcontractors or agents in performing its duties and exercising its rights hereunder, without your consent. If you do not agree with any such transfer or assignment, you should discontinue your use of the service and cancel your account.
Notices relating to your services and the terms of this Agreement will be provided to you via the email address you have registered for your UK Calibrations account. It is your responsibility to ensure that the personal details UK Calibrations holds for you are current at all times.
This Agreement (including the items incorporated by reference and modifications that may be made from time to time by UK Calibrations), constitute the entire agreement between UK Calibrations and you regarding the Service, and supersedes all prior agreements between you and UK Calibrations regarding the subject matters hereof. Any item or service furnished by UK Calibrations in furtherance of the Service shall be covered by this Agreement unless otherwise explicitly provided. Should there be any conflict in terms between this Agreement and any other document, the terms set forth in this Agreement shall govern. Any references that are singular or plural and any references that are masculine, feminine, or neutral in gender, are meant to be used interchangeably as the context of the sentence might imply.
This Agreement will be enforced to the fullest extent permitted by applicable law. If for any reason any provision of this Agreement is held to be unenforceable, then
- such provision will be interpreted, construed, or reformed to the extent reasonably required to render it valid, enforceable, and consistent with the original intent underlying such provision and
- such invalidity or unenforceability will not affect the validity or enforceability of any other provision of this Agreement and all such provisions shall remain in full force and effect.
